HSBC’s Member-Get-Member (“MGM”) Promotion (the “Promo”), will run from July 10 to October 31, 2008 (the “Promo Period”). |

| 2. |
The Promo is open to all primary cardholders (referred to as “Referrors”), whose cards have been locally issued by HSBC and are active and in good credit standing (i.e. not delinquent, suspended, cancelled, reported lost or stolen) during the Promo and Redemption Periods. |

| 3. |
The Promo is also open to all existing HSBC, HSBC Savings Bank (Philippines) Inc, HSBC Insurance Brokers (Philippines) Inc, and HDPP Employees (referred to as “Referror”) who are primary cardholders and whose cards are active and in good standing (i.e. not delinquent, suspended or cancelled) during the Promo and Redemption Periods. However, the following will not be considered their valid referrals: |

• Applications of HSBC, HSBC Savings Bank (Philippines) Inc, HSBC Insurance Brokers (Philippines) Inc, and HDPP Employees |
| |
• Applications sourced from third party sales agents and other Sales channels |
| |

| 4. |
MGM promo premium items: |
| |
• Referrors earn 1 MGM voucher for every approved referral under the Promo. Only referrals for Primary new-to-bank or Primary 2nd card HSBC Mabuhay Miles Visa, RED MasterCard, HSBC Classic/Gold Visa/MasterCard applications shall be counted as valid referrals under the Promo. The MGM voucher will be sent to the Referror’s billing address upon approval of the referred application. |

• If you have 3 or more approvals, referror has the option to choose whichever item he/she prefers provided the required number of vouchers is surrendered.
Example:
3 approvals = 1 Timex/Dunlop/Mango watch + 1 Sun Cellular Prepaid Phone Kit
3 approvals = 3 Timex/Dunlop/Mango watches 4 approvals = 4 Timex/Dunlop/Mango watches 4 approvals = 2 Timex/Dunlop/Mango watches + 1 Sun Cellular Prepaid Phone Kit 4 approvals = 2 Nokia 1208 with Sun Cellular Prepaid Phone Kits |

The Redemption Period is from August 15, 2008 to December 31, 2008. |

| 6. |
Only referrals made using the MGM Application Forms (including photocopies of MGM application forms) will qualify the Referror for the promo. The Referror must indicate on the MGM Referror’s section of the MGM application form his name and HSBC credit card number. If the Referror’s Section is left blank, the referral will not be counted in favor of the Referror despite the approval of the application. The Referror shall hold the Bank free and harmless from any and all claims or damages that may result from the Referror’s disclosure of his name and credit card number to any prospective referral. |

MGM Application forms may also be downloaded online by the Referror. A registration form should be filled out to generate an application form which is downloadable for distribution to his/her referrals. The MGM application form will already have the Referror‘s preprinted name and MGM identification number. Referror’s credit card number need not be printed as this has been submitted to the Bank upon online registration. |

| 8. |
An Applicant may submit his/her completely filled out and signed MGM application form along with required documents indicated on the form to HSBC via fax to (02) 755-5530. Only MGM applications with complete information and documents will be processed. |

|
| 9. |
All completely filled out applications with required supporting documents will be processed by the Bank on a first-come, first-served basis. |
| |
|
| 10. |
HSBC’s Welcome Premium Promo Terms and Conditions will apply for all approved new-to-bank and 2nd card referred Applicants depending on the card type applied. |
| |

| 11. |
MGM items may be redeemed to at any of the participating merchant outlets (Timex/Watch Republic for the watches and Sun Cellular shops for the Sun Cellular Prepaid Phone Kits) by surrendering the following required documents: |
| |
a. Original MGM voucher/s b. Photocopy of valid ID (front and back) c. The premium item can be redeemed by an authorized representative provided the MGM voucher should bear the signatures of the Referror and authorized representative and be surrendered with the photocopies of valid primary IDs of both the Referror and authorized representative. |

| 12. |
MGM vouchers that have not been redeemed by December 31, 2008 will be forfeited in favor of HSBC with prior approval from DTI. |
| |
|
| 13. |
HSBC shall not be obliged to recognize or replace any premium item or voucher redeemed through this Promo that is lost or stolen as a result of the Cardholder’s own negligence. |
| |
|
| 14. |
In the event the redeemed item is defective or damaged, Cardholder may make a claim against the supplier on the basis of the said warranty. |
| |
|
| 15. |
In case a Referror is found to have made invalid transactions or multiple redemptions under fraudulent means, as determined by HSBC according to the terms set forth herein, HSBC shall have the right to charge the retail price of the item/s redeemed to the Referror’s HSBC credit card. |
| |
|
| 16. |
MGM vouchers cannot be changed or exchanged for cash. The premium items are available on a first-come, first-served basis while stocks last. HSBC reserves the right to give alternative items in the event the available inventory is exhausted. |
| |
|
| 17. |
All matters and disputes will be subject to the final decision of HSBC. All decisions made by HSBC pertaining to the Offer, with prior approval by DTI, will be deemed final and irrevocable. |

|
| 18. |
This promotion is subject to the Terms and Conditions of HSBC’s Credit Card Products. |
