| General Provisions: |

| 1. |
Programme period is from 1 July 2008 to 31 December 2008. |

| 2. |
The Programme is being conducted by The Hongkong and Shanghai Banking Corporation Limited, hereinafter referred to as “BANK” or “HSBC”. |
| |
|
| 3. |
New-to-bank HSBC Premier Customers (the “NTB”) who qualify under these Programme Mechanics will enjoy a special interest rate (the “Rate Offer”) that will be applied to his Premier Savings Account. |

|
| 4. |
NTB definition: |
| |
• NTB must be a new-to-bank client. Existing HSBC Premier customers are not eligible.
• NTB must open a Premier relationship with a minimum Total Relationship Balance (TRB) of Php4 Million (or foreign currency equivalent).
• NTB’s funds must be new. Funds transferred from accounts held in any HSBC branch or in HSBC Savings Bank (Philippines) Inc shall not be considered new. |

Should the NTB qualify for the Rate Offer, his Premier Savings Account shall enjoy the Rate Offer subject to the following conditions: |

Minimum deposit: PHP500,000 |

Maximum deposit: PHP15 Million |
| |
Currency: Philippine Peso only |
| |
Interest rate validity: From 1 July 2008 to 31 December 2008 |

Indicative Rate Offer: Less than Php 500,000 : regular savings rate Php500,000 to Php15M : 3.75% gross p.a.* More than Php15M : regular savings rate |

Other conditions: NTB must likewise open a Philippine Peso Checking Amount with a minimum deposit of PHP100,000 earning the regular interest rate |

| 6. |
In the event of a dispute arising out of this Programme, the decision of the BANK as concurred with by the Department of Trade and Industry (DTI), shall be final. |
